Organizer Terms

This document is a draft prepared for review and is not legal advice. It should be reviewed by a licensed attorney before it is relied upon.

These Organizer Terms ("Terms") are between Summit Studio LLC, which operates the StarCard program ("StarCard," "we," "us," or "our"), and the organization running a fundraiser ("you," "Organizer," or "Organization"). By applying to run a fundraiser, or by checking the box indicating your agreement, you agree to these Terms on behalf of your Organization.

1. Authority to act for your organization

You represent that you are authorized to enter into these Terms on behalf of your Organization and to run the fundraiser you apply for. You are responsible for the accuracy of the information you provide about your Organization and its cause.

2. How StarCard fundraising works

Supporters buy StarCard memberships in support of your campaign. Memberships purchased through your campaign's unique link or code are credited ("attributed") to your campaign, and your Organization earns the applicable share of those sales. We provide the platform, process payments, curate the shops and offers, and handle member support.

3. Your share and how it's set

Your Organization earns the share of each attributed membership sale shown in your organizer dashboard for your campaign. The share and the portion StarCard retains as its commission are set by StarCard and displayed to you before your campaign opens. Amounts are earned only on completed, non-refunded sales that are validly attributed to your campaign.

4. Attribution

A sale is attributed to your campaign based on the link or code the supporter used at purchase. Attributed earnings are initially held for a set period to account for refunds, chargebacks, and fraud checks, and then become eligible for payout. We may adjust, reverse, or void an attribution that results from a refund, chargeback, error, or abuse.

5. Payouts

To receive payouts, you must connect and maintain a valid payout account with our payments partner and provide accurate business, banking, and tax information. Payouts of eligible earnings are made through that partner on our standard schedule, subject to any minimum payout threshold and to the partner's own terms and verification. You are responsible for keeping your payout details current; we are not responsible for payouts delayed or misdirected because of inaccurate information you provided.

6. Taxes

You are responsible for determining and paying any taxes owed on funds your Organization receives. You agree to provide any tax documentation we reasonably request (such as a completed IRS Form W-9), and we or our payments partner may issue tax forms (such as a Form 1099) where required by law.

7. Running your campaign responsibly

You agree that you will:

  • Describe your Organization and the purpose of your fundraiser truthfully, and use funds for that stated purpose.
  • Not mislead supporters about the fundraiser, the share, or how funds are used.
  • Comply with all laws that apply to your fundraising, including any charitable-solicitation registration or reporting requirements.
  • Not use the Services for any unlawful, deceptive, or harmful purpose.
⚠️ Charitable-solicitation laws vary by state and can require registration before soliciting. Confirm with counsel whether StarCard, organizers, or both bear registration/reporting duties, and whether any organizer types (e.g., schools, 501(c)(3)s, booster clubs) need special handling.

8. License to your organization's marks

You grant Summit Studio LLC a non-exclusive, royalty-free license to use your Organization's name, logo, and campaign materials to operate, display, and promote your campaign within the StarCard program while your campaign is active. You represent that you have the right to grant this license.

9. Approval and campaign control

Every campaign is subject to our review and approval. We may decline, pause, or close a campaign, and may withhold or reverse earnings, if we believe there is fraud, abuse, a violation of these Terms, or a legal or reputational risk. We do not guarantee any level of sales or funds raised.

10. Relationship of the parties

You and StarCard are independent parties. These Terms do not create a partnership, joint venture, agency, or employment relationship. StarCard is not a charity, is not your fiscal sponsor, and does not provide tax or legal advice.

11. Disclaimers and limitation of liability

The Services are provided "as is," without warranties of any kind. To the fullest extent permitted by law, Summit Studio LLC will not be liable for any indirect, incidental, special, or consequential damages, or for lost or expected fundraising proceeds, and our total liability under these Terms will not exceed the total commission we retained from your campaign in the 12 months before the claim.

12. Indemnification

You agree to indemnify and hold harmless Summit Studio LLC from claims, losses, and expenses (including reasonable attorneys' fees) arising from your campaign, your use of funds, your representations to supporters, your Organization's marks, or your breach of these Terms or of any charitable-solicitation or tax law.

13. Term and termination

These Terms apply while you run one or more campaigns with us. Either party may end your participation on notice; we may suspend it immediately for the reasons in Section 9. Eligible earnings validly attributed before termination remain payable, subject to these Terms. Sections that by their nature should survive (including taxes, indemnification, disclaimers, and limitation of liability) survive termination.

14. Governing law and disputes

These Terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. The parties will first try to resolve any dispute informally; if they cannot, disputes will be resolved exclusively in the state and federal courts located in Putnam County, Tennessee.
